Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 9, 2023, Keng Hooi Ng informed Reinsurance Group of America, Incorporated (the “Company”) that he will not stand for re-election as a member of the Company’s board of directors (the “Board”) at the annual meeting of shareholders to be held May 24, 2023. Mr. Ng’s decision not to stand for re-election is not the result of any dispute or disagreement with the Company, the Company’s management or the Board on any matter relating to the Company’s operations, policies or practices.
